This End User License Agreement ("Agreement") is a legal agreement between you and [Legal Entity Name] for the Apate Security software ("the Software"). By activating or using the Software you accept this Agreement.
Subject to your payment and compliance with this Agreement, we grant you a non-exclusive, non-transferable, revocable license to install and use the Software for the number of devices/seats included in your plan, for your internal, lawful, defensive security purposes.
The Software is passive and read-only by design. You must use it only on networks and systems you own or are expressly authorized to assess, and only for lawful defensive purposes. You must not use it to attack, exploit, intrude upon, or disrupt any system, or to process data unlawfully. You are solely responsible for how you use it.
The Software is licensed, not sold. All intellectual property rights in the Software remain with us and our licensors.
The Software uses offline, cryptographically signed licenses. Keys may be bound to one or more devices depending on your plan. Circumventing or tampering with licensing is a material breach.
We may provide updates or new builds. Unless stated otherwise, updates are covered by this Agreement.
This Agreement applies for as long as your license is valid. It terminates automatically if you breach it; on termination you must stop using the Software. Sections on ownership, disclaimers and liability survive termination.
The Software is provided "as is" and "as available" without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special or consequential damages, or loss of data or profits, arising from the Software; and our total liability shall not exceed the amount you paid for the license in the twelve (12) months preceding the claim.
You agree to comply with all applicable export-control and sanctions laws, and not to use the Software where prohibited.
This Agreement is governed by the laws of [Country / State], without regard to conflict-of-law rules.
